These Terms & Conditions (“Terms”) govern your access to and use of the Ajaia website, services, and AI products, including Quixoa and any custom-built solutions (collectively, the “Services”). By accessing or using our Services, you agree to these Terms.

If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.

1. Use of Services

You may use our Services only for lawful purposes and in accordance with these Terms.

You agree not to:
• Reverse engineer, modify, or interfere with the Services
• Access the Services using automated methods not expressly permitted
• Upload unlawful, harmful, or proprietary content you do not have rights to use
• Use our Services to generate, store, or transmit content in violation of applicable laws or institutional/organizational policies

Ajaia may update or modify features at any time to improve performance, security, or user experience.

2. Accounts and Access

For enterprise products, access may require an organizational account, SSO integration, or administrator provisioning. You are responsible for maintaining the confidentiality of your credentials and any activity under your account.

Ajaia reserves the right to suspend or terminate access for misuse, security risk, or violation of these Terms.

3. Customer Content

“Customer Content” includes all inputs, outputs, documents, data, prompts, files, and materials you or your organization provide through the Services.

You retain all rights to Customer Content. Ajaia does not claim ownership and does not train models on your proprietary content.

You grant Ajaia a limited right to process Customer Content solely to operate, maintain, and support the Services, including debugging, performance optimization, and security.

4. Intellectual Property

All Ajaia intellectual property—including software, models, workflows, documentation, branding, designs, and related materials—remains the exclusive property of Ajaia and its licensors.

Nothing in these Terms grants you rights beyond those explicitly provided. You may not copy, distribute, or create derivative works of our IP unless specifically authorized in writing.

5. AI Outputs

AI-generated content is produced based on model behavior, third-party components, and system configuration.

You acknowledge:
• AI outputs may be inaccurate or incomplete
• You are responsible for evaluating outputs before relying on them
• AI outputs may vary depending on model selection or system parameters
• Ajaia is not liable for decisions made in reliance on generated content

For regulated industries, you remain responsible for ensuring compliance with applicable laws, standards, and institutional requirements.

6. Payment Terms (If Applicable)

Certain products or services may require fees. Unless otherwise stated in a written agreement:
• Fees are non-refundable
• Payment must be made according to the billing schedule provided
• Ajaia may suspend access for non-payment

Platform token usage fees may include pass-through model costs charged by third-party providers.

7. Third-Party Integrations

Ajaia products may integrate with third-party services such as cloud hosting, identity providers, file storage systems, or AI model APIs.

Use of those services is subject to their own terms. Ajaia is not responsible for third-party system failures, outages, or data practices.

8. Security

Ajaia employs enterprise-grade security measures including encryption, environment isolation, and access controls. However, no system is fully immune from risk.

You agree to:
• Follow reasonable security practices
• Notify Ajaia promptly of any suspected unauthorized access
• Comply with your organization’s security and data governance requirements

9. Confidentiality

If you enter into a services engagement with Ajaia, confidential information exchanged between parties will be protected under a separate NDA or Master Services Agreement (MSA).
Nothing in these Terms overrides confidentiality terms in an executed contract.

10. Disclaimers

The Services are provided “as is” and “as available.”

Ajaia disclaims all warranties, express or implied, including but not limited to:
• Fitness for a particular purpose
• Accuracy or reliability of AI outputs
• Non-infringement
• Uninterrupted or error-free availability of services

11. Limitation of Liability

To the maximum extent permitted by law:
• Ajaia is not liable for indirect, incidental, consequential, or punitive damages
• Ajaia’s total liability for any claim related to these Terms will not exceed the amount paid by you or your organization in the prior 12 months (or $0 if no payments were made)

This limitation applies regardless of theory of liability.

12. Termination

Ajaia may terminate or restrict access if you violate these Terms or create security, legal, or operational risk.

Upon termination:
• Your right to use the Services ceases immediately
• Any terms that logically survive—such as confidentiality, IP rights, and limitations of liability—remain in effect

13. Governing Law

These Terms are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles.
Any disputes will be resolved in the courts located in that jurisdiction unless otherwise stated in a separate agreement.

14. Changes to Terms

We may update these Terms periodically to reflect changes in our Services or legal requirements. The updated version will be posted with a new effective date.
